This commitment is documented in our Code of Business Conduct &amp; Ethics (the \u201cCode\u201d), which can be found on our website here: www.cabeolica.com. This Code has been adopted by Cabeolica\u2019s Board of Directors and applies to all employees, associates, agents, and third parties.<\/p>\n\n\t\t<\/div>\n\t<\/div>\n<div class=\"title-box  text-left\"><h4 class=\"title\">Standards of conduct<\/h4><\/div>\n\t<div class=\"wpb_text_column wpb_content_element\" >\n\t\t<div class=\"wpb_wrapper\">\n\t\t\t<p style=\"text-align: left;\">Do not break any laws, regulations, or company policies. All personnel are expected to operate to the highest ethical and good corporate governance standards and uphold ESG best practice in all aspects of the business to maintain the company\u2019s reputation and brand.<\/p>\n<p style=\"text-align: left;\">All personnel have a duty to familiarise themselves with company policies.<\/p>\n\n\t\t<\/div>\n\t<\/div>\n<div class=\"vc_empty_space\"   style=\"height: 32px\"><span class=\"vc_empty_space_inner\"><\/span><\/div><div class=\"title-box  text-left\"><h4 class=\"title\">Conflicts of Interest<\/h4><\/div>\n\t<div class=\"wpb_text_column wpb_content_element\" >\n\t\t<div class=\"wpb_wrapper\">\n\t\t\t<p style=\"text-align: left;\">Notify the Cabeolica Compliance Officer about any potential conflicts of interest between your role with Cabeolica, and any other role or connection you may have, in order that mitigation measures can be put in place to prevent the conflict becoming material. Relevant notifications should be made using the Declaration of Personal Interests Form.<\/p>\n<p style=\"text-align: left;\">Act in the best interests of Cabeolica at all times. Do not use your position with Cabeolica to get money, gifts, or free or cheap goods or services. Travel and accommodation from third parties is not accepted unless contractual.<\/p>\n\n\t\t<\/div>\n\t<\/div>\n<div class=\"vc_empty_space\"   style=\"height: 32px\"><span class=\"vc_empty_space_inner\"><\/span><\/div><div class=\"title-box  text-left\"><h4 class=\"title\">Public Disclosure<\/h4><\/div>\n\t<div class=\"wpb_text_column wpb_content_element\" >\n\t\t<div class=\"wpb_wrapper\">\n\t\t\t<p style=\"text-align: left;\">Cabeolica makes timely, factual, and accurate disclosure of material information about Cabeolica\u2019s operations to its shareholders, stakeholders, and relevant regulatory authorities.<\/p>\n\n\t\t<\/div>\n\t<\/div>\n<div class=\"vc_empty_space\"   style=\"height: 32px\"><span class=\"vc_empty_space_inner\"><\/span><\/div><div class=\"title-box  text-left\"><h4 class=\"title\">Recordkeeping and financial controls<\/h4><\/div>\n\t<div class=\"wpb_text_column wpb_content_element\" >\n\t\t<div class=\"wpb_wrapper\">\n\t\t\t<p style=\"text-align: left;\">Cabeolica\u2019s accounting and financial records are accurate, complete, and recorded in a timely manner, in reasonable detail, for every business transaction undertaken by Cabeolica.<\/p>\n<p style=\"text-align: left;\">Employees and directors who have control over Cabeolica\u2019s assets and transactions are responsible for establishing and maintaining a system of internal controls in their area of responsibility designed to (a) prevent unauthorised, unrecorded, or inaccurately recorded transactions; (b) permit the preparation of financial statements according to generally accepted accounting principles; and (c) report any breakdown in controls to the Board.<\/p>\n<p style=\"text-align: left;\">Cabeolica takes a zero tolerance approach to tax evasion and the facilitation of tax evasion.<\/p>\n\n\t\t<\/div>\n\t<\/div>\n<div class=\"vc_empty_space\"   style=\"height: 32px\"><span class=\"vc_empty_space_inner\"><\/span><\/div><div class=\"title-box  text-left\"><h4 class=\"title\">Proper use of Company Assets<\/h4><\/div>\n\t<div class=\"wpb_text_column wpb_content_element\" >\n\t\t<div class=\"wpb_wrapper\">\n\t\t\t<p style=\"text-align: left;\">Do not use Cabeolica\u2019s property for personal reasons. Report to Cabeolica if you know of anyone losing, stealing, damaging, misusing or wasting, Cabeolica\u2019s property.<\/p>\n<p style=\"text-align: left;\">Do not use Cabeolica\u2019s property or information to make business opportunities for yourself or your friends or relatives.<\/p>\n\n\t\t<\/div>\n\t<\/div>\n<div class=\"vc_empty_space\"   style=\"height: 32px\"><span class=\"vc_empty_space_inner\"><\/span><\/div><div class=\"title-box  text-left\"><h4 class=\"title\">Confidentiality of Information<\/h4><\/div>\n\t<div class=\"wpb_text_column wpb_content_element\" >\n\t\t<div class=\"wpb_wrapper\">\n\t\t\t<p style=\"text-align: left;\">Do not disclose confidential information about Cabeolica unless that has been authorised by Cabeolica or it is legally mandated. Don\u2019t tell or give people information that Cabeolica has been given by other people or companies or agencies on a confidential basis. You are required to keep confidential information confidential, even after you stop working for Cabeolica.<\/p>\n<p style=\"text-align: left;\">Cabeolica carefully protects personal data which comes into its possession.<\/p>\n\n\t\t<\/div>\n\t<\/div>\n<div class=\"vc_empty_space\"   style=\"height: 32px\"><span class=\"vc_empty_space_inner\"><\/span><\/div><div class=\"title-box  text-left\"><h4 class=\"title\">Anti-Corruption and Anti-Fraud<\/h4><\/div>\n\t<div class=\"wpb_text_column wpb_content_element\" >\n\t\t<div class=\"wpb_wrapper\">\n\t\t\t<p style=\"text-align: left;\">Do not offer bribes or improper payments to secure an advantage. A bribe includes offering money, buying presents, or entertainment, or arranging free or cheap travel. Detailed guidance is provided in the Cabeolica Anti-Bribery &amp; Anti-Corruption Policy.<\/p>\n<p style=\"text-align: left;\">Cabeolica has requirements relating to the prohibition, recognition, reporting, and investigation of suspected fraud, corruption, misappropriation, and other financial irregularities. Mandatory Reporting Guidance is provided in the Cabeolica Whistleblower Policy.<\/p>\n\n\t\t<\/div>\n\t<\/div>\n<div class=\"vc_empty_space\"   style=\"height: 32px\"><span class=\"vc_empty_space_inner\"><\/span><\/div><div class=\"title-box  text-left\"><h4 class=\"title\">Human Rights<\/h4><\/div>\n\t<div class=\"wpb_text_column wpb_content_element\" >\n\t\t<div class=\"wpb_wrapper\">\n\t\t\t<p style=\"text-align: left;\">Cabeolica has a zero tolerance of human rights violations and promotes international human rights standards.<\/p>\n<p style=\"text-align: left;\">Personnel must not discriminate against people or harass anyone, and must not treat people differently because of their race, tribe, gender, age, sexuality, political beliefs, or religion. There is a zero tolerance of harassment and bullying, Do not take unfair advantage of people or companies that Cabeolica work with.<\/p>\n<p style=\"text-align: left;\">Cabeolica does not tolerate modern slavery in its supply chain (e.g. underage or indentured labour) and we support Freedom of Association and the Right to Collective Bargaining.<\/p>\n\n\t\t<\/div>\n\t<\/div>\n<div class=\"vc_empty_space\"   style=\"height: 32px\"><span class=\"vc_empty_space_inner\"><\/span><\/div><div class=\"title-box  text-left\"><h4 class=\"title\">Environment and Safety standards<\/h4><\/div>\n\t<div class=\"wpb_text_column wpb_content_element\" >\n\t\t<div class=\"wpb_wrapper\">\n\t\t\t<p style=\"text-align: left;\">Cabeolica is committed to achieving environmental and safety standards that comply with applicable national laws and meet international standards, including the IFC Performance Standards on Environmental and Social Sustainability, the World Bank Environmental, Health and Safety Guidelines, and the UN Declarations on Human Rights.<\/p>\n<p style=\"text-align: left;\">In terms of safety, all employees are responsible for identifying and reporting to the Head of Health and Safety any occupational safety hazards in order to maintain a healthy and safe workplace, with a zero-harm culture.<\/p>\n<p style=\"text-align: left;\">Cabeolica is committed to the efficient use of natural resources, and assesses, monitors, and where necessary, addresses the environmental and social risks and negative impacts of its operations, and potential impacts on local communities. Whistleblowing and Communication:<\/p>\n<p style=\"text-align: left;\">Cabeolica personnel (or agents) must report to the Cabeolica Compliance Officer any suspected breaches of this Code, e.g. to cabeolicacompliance@cabeolica.com, in accordance with the Cabeolica Whistleblower Policy.<\/p>\n<p style=\"text-align: left;\">Cabeolica guarantees that there will be no retaliation against any person who in good faith reports an ethics concern, such as a suspected policy violation.<\/p>\n<p style=\"text-align: left;\">Cabeolica promotes this Code to all third parties and agents and requires them to abide by it.<\/p>\n<p style=\"text-align: left;\">All Cabeolica personnel are trained on this Code once per year.<\/p>\n\n\t\t<\/div>\n\t<\/div>\n<div class=\"vc_empty_space\"   style=\"height: 32px\"><span class=\"vc_empty_space_inner\"><\/span><\/div><div class=\"title-box  text-left\"><h4 class=\"title\">Excluded Investments<\/h4><\/div>\n\t<div class=\"wpb_text_column wpb_content_element\" >\n\t\t<div class=\"wpb_wrapper\">\n\t\t\t<p style=\"text-align: left;\">Cabeolica\u2019s business shall never include any of the following excluded activities:<\/p>\n\n\t\t<\/div>\n\t<\/div>\n\r\n\t<div class=\"text-left\">\r\n\t\t<ul class=\"iq-list\">\r\n\t        <li>\r\n\t            <i class=\"ion ion-android-checkbox\"><\/i>\r\n\t\t            <span style=\"color: #000000\">Employing forced labour of any kind<\/span>        \r\n\t        <\/li>\r\n\t        <li>\r\n\t            <i class=\"ion ion-android-checkbox\"><\/i>\r\n\t\t            <span style=\"color: #000000\">Allowing children to form part of its workforce<\/span>        \r\n\t        <\/li>\r\n\t        <li>\r\n\t            <i class=\"ion ion-android-checkbox\"><\/i>\r\n\t\t            <span style=\"color: #000000\">Paying wages which are below industry or national minima<\/span>        \r\n\t        <\/li>\r\n\t        <li>\r\n\t            <i class=\"ion ion-android-checkbox\"><\/i>\r\n\t\t            <span style=\"color: #000000\">Investments or transactions in a country or involving a person, group or entity subject to international trade embargoes or sanctions at the time of investment<\/span>        \r\n\t        <\/li>\r\n\t        <li>\r\n\t            <i class=\"ion ion-android-checkbox\"><\/i>\r\n\t\t            <span style=\"color: #000000\">Manufacture or trading of weapons, including the development, production or storage of nuclear weapons and the production of components made explicitly for use in nuclear weapons<\/span>        \r\n\t        <\/li>\r\n\t        <li>\r\n\t            <i class=\"ion ion-android-checkbox\"><\/i>\r\n\t\t            <span style=\"color: #000000\">Generating power from a nuclear reactor<\/span>        \r\n\t        <\/li>\r\n\t        <li>\r\n\t            <i class=\"ion ion-android-checkbox\"><\/i>\r\n\t\t            <span style=\"color: #000000\">Manufacturing tobacco or tobacco-related products, unbonded asbestos fibres or radioactive materials<\/span>        \r\n\t        <\/li>\r\n\t        <li>\r\n\t            <i class=\"ion ion-android-checkbox\"><\/i>\r\n\t\t            <span style=\"color: #000000\">Involving gambling, casinos and related activities<\/span>        \r\n\t        <\/li>\r\n\t        <li>\r\n\t            <i class=\"ion ion-android-checkbox\"><\/i>\r\n\t\t            <span style=\"color: #000000\">Relating to prostitution or pornography<\/span>        \r\n\t        <\/li>\r\n\t\t<\/ul>\r\n\t<\/div><\/div><\/div><\/div><\/div><div class=\"vc_row wpb_row vc_row-fluid\"><div class=\"wpb_column vc_column_container vc_col-sm-12\"><div class=\"vc_column-inner\"><div class=\"wpb_wrapper\"><div class=\"vc_empty_space\"   style=\"height: 32px\"><span class=\"vc_empty_space_inner\"><\/span><\/div><div class=\"vc_empty_space\"   style=\"height: 32px\"><span class=\"vc_empty_space_inner\"><\/span><\/div><div class=\"vc_empty_space\"   style=\"height: 32px\"><span class=\"vc_empty_space_inner\"><\/span><\/div><\/div><\/div><\/div><\/div>","protected":false},"excerpt":{"rendered":"O sucesso da Cabe\u00f3lica assenta no nosso compromisso de conduzir os nossos neg\u00f3cios de acordo com os mais elevados padr\u00f5es de \u00e9tica e integridade e de cumprir todas as leis e regulamentos aplic\u00e1veis.
